Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Proopsys (“we,” “us,” or “our”) governing your access to and use of the Proopsys application, websites, and related services (collectively, the “Service”). By creating an account or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.

You must be at least 16 years old to use Proopsys. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Proopsys is a personal operating system that combines task management, calendar, finance tracking, content planning, customer relationship management, AI-assisted briefings, and related productivity tools in a single workspace. The Service may include AI agents that generate suggestions, drafts, and summaries based on the data you provide.

We are continuously improving the Service. Features may be added, modified, or removed from time to time. We will use reasonable efforts to provide notice of material changes.

To use most features of Proopsys, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your password and for all activity that occurs under your account.

You must notify us immediately at support@proopsys.com if you suspect unauthorized access to your account. We are not liable for any loss arising from your failure to comply with this requirement.

You agree not to use the Service to:

• Violate any applicable law or regulation, or infringe the rights of any third party.
• Upload or transmit malicious code, viruses, or any content that is unlawful, defamatory, or harmful.
• Attempt to gain unauthorized access to the Service, other users’ accounts, or our infrastructure.
• Reverse engineer, decompile, or otherwise attempt to extract source code, except to the extent permitted by law.
• Resell, sublicense, or commercially exploit the Service without our written consent.
• Use the Service’s AI features to generate content that is illegal, harassing, deceptive, or that violates a third party’s rights.
• Scrape, crawl, or use automated means to extract data from the Service in a way that disrupts normal use.

We may suspend or terminate accounts that violate these rules.

Some Proopsys features require a paid subscription. By subscribing to a paid plan, you authorize us (or our payment processor) to charge the applicable fees to your designated payment method on a recurring basis until you cancel.

• Billing. Subscriptions renew automatically at the end of each billing cycle unless cancelled before renewal.
• Cancellation. You may cancel at any time from within your account. Cancellation takes effect at the end of the current billing cycle; you will retain access until then.
• Refunds. Fees are generally non-refundable except where required by law or expressly stated by us in writing.
• Price changes. We may change pricing with at least 30 days’ advance notice. New pricing applies at the start of your next billing cycle.
• Taxes. Fees are exclusive of applicable taxes, which you are responsible for.

The Service, including its software, design, branding, and content created by us, is owned by Proopsys and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Your content. You retain all rights to the content you create or upload to Proopsys (“User Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content solely as necessary to operate and improve the Service for you. We do not claim ownership of your User Content and we do not use it to train third-party AI models without your explicit consent.

AI output. Output generated by AI agents based on your inputs is yours to use, subject to applicable law and to the terms of any third-party AI providers we rely on.

Feedback. If you submit suggestions or feedback, you grant us the right to use it without restriction or compensation.

You may terminate your account at any time by deleting it from within Proopsys or by emailing support@proopsys.com. Upon termination, your right to use the Service ends immediately. We will delete your personal data in accordance with our Privacy Policy.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Service to you would be commercially impractical. Sections of these Terms that by their nature should survive termination — including Intellectual Property, Limitation of Liability, and Governing Law — will survive.

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that AI-generated output will be accurate or suitable for your purposes.

To the fullest extent permitted by law, in no event will Proopsys, its affiliates, or its service providers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amounts you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You and Proopsys agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any dispute arising out of or relating to these Terms or the Service, except that we may seek injunctive or equitable relief in any jurisdiction.

We may revise these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service before they take effect.
